1. About FundMyAgent

FundMyAgent is a donation-based crowdfunding platform designed for artificial intelligence projects, including AI agents, LLM fine-tuning, robotics, open-source AI tools, AI research, AI education, and related technology initiatives. We provide a platform that connects campaign creators (“Creators”) seeking funding with supporters (“Donors”) who wish to contribute financially to AI projects.

FundMyAgent is a platform and intermediary. We are not a party to any agreement between Creators and Donors. We do not guarantee that any campaign will achieve its funding goal, that Creators will deliver on their stated objectives, or that donated funds will be used as described.

2. Eligibility

To use FundMyAgent, you must be at least 18 years of age and capable of forming a binding contract. By using the Platform, you represent and warrant that you meet these requirements. If you are using the Platform on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

3. Account Registration

To create campaigns, make donations, post comments, or follow campaigns, you must create an account. You agree to provide accurate, current, and complete information during registration and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

We reserve the right to suspend or terminate accounts that violate these Terms, contain false information, or are used for fraudulent purposes.

4. Campaign Creators

4.1 Campaign Creation

Creators may create campaigns to raise funds for AI-related projects. All campaign content, including descriptions, images, videos, and updates, must be accurate and not misleading. Creators are solely responsible for the content of their campaigns and for fulfilling any commitments made to Donors.

4.2 Prohibited Campaigns

Campaigns must not involve or promote: illegal activities; fraud, deception, or misrepresentation; violence, hate speech, or discrimination; content unrelated to artificial intelligence or technology; securities, equity, or investment returns; gambling or lotteries; weapons, drugs, or controlled substances; content that infringes on third-party intellectual property rights; or any content that violates applicable laws or regulations.

4.3 Identity Verification

Before withdrawing funds, Creators must complete identity verification through our payment processor, Stripe. This process may require government-issued identification, bank account information, and other documentation as required by applicable regulations. FundMyAgent reserves the right to delay or withhold fund disbursement until verification is complete.

4.4 Fund Withdrawal

Funds are available for withdrawal on a rolling basis after a 7-day holding period following each donation. Withdrawals are processed through Stripe Connect to the Creator's linked bank account. FundMyAgent does not guarantee any specific payout timeline beyond what is stated in our standard payout schedule.

4.5 Creator Responsibility

Creators are solely responsible for: the accuracy of their campaign content and updates; compliance with all applicable laws, including tax reporting obligations; fulfilling commitments made to Donors; communicating with Donors through campaign updates; and any disputes with Donors regarding the use of funds.

5. Donors

5.1 Donations

Donations made through FundMyAgent are voluntary contributions to support AI projects. Donations are not purchases, investments, or loans. Donors do not receive equity, ownership, financial returns, or guaranteed deliverables in exchange for their donations.

5.2 No Guarantee

FundMyAgent does not guarantee that donated funds will be used as described by Creators, that campaigns will achieve their goals, or that funded projects will be completed. Donors make contributions at their own risk and should exercise their own judgment when evaluating campaigns.

5.3 Refund Policy

Donations are generally non-refundable. Refunds may be issued at FundMyAgent's sole discretion in cases of verified fraud, campaigns that materially violate these Terms, or when required by applicable law. To request a refund, contact [email protected].

5.4 Guest Checkout

Donors may make contributions without creating an account through our guest checkout feature. Guest donors must provide a valid email address for receipt purposes. Guest donations are subject to the same terms and conditions as account-based donations.

6. Fees and Payments

6.1 Platform Fee

FundMyAgent charges a platform fee of 5% on each donation, which is deducted from the donation amount before funds are disbursed to the Creator. This fee supports platform operations, trust and safety measures, customer support, and ongoing platform development.

6.2 Payment Processing Fees

Payment processing fees are charged by our third-party payment processors (Stripe, PayPal, and Coinbase Commerce) and are separate from the platform fee. These fees vary by payment method: approximately 2.9% + $0.30 for credit/debit cards, approximately 2.9% + $0.30 for PayPal, approximately 1% for cryptocurrency, and approximately 0.8% (capped at $5) for ACH bank transfers.

6.3 Optional Tips

During the donation process, Donors may choose to leave an optional tip to support FundMyAgent. Tips are voluntary, never required, and do not reduce the amount received by the Creator.

6.4 Subscription Plans

FundMyAgent offers optional subscription plans (Pro and Team) for Creators seeking additional features. Subscription fees are billed monthly through Stripe. Subscriptions may be cancelled at any time, with access continuing through the end of the current billing period. Refunds for partial billing periods are not provided.

6.5 Premium Listings

Creators may purchase premium campaign placements (Homepage Featured and Category Featured) for additional visibility. These are billed monthly and may be cancelled at any time.

7. Intellectual Property

7.1 Platform Content

The FundMyAgent name, logo, website design, and all associated intellectual property are owned by FundMyAgent LLC. You may not use our trademarks, logos, or branding without prior written permission.

7.2 User Content

Creators retain ownership of all content they upload to the Platform, including campaign descriptions, images, videos, and updates. By uploading content to FundMyAgent, you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, and distribute your content solely for the purpose of operating and promoting the Platform and your campaign.

7.3 Intellectual Property Violations

If you believe content on FundMyAgent infringes your intellectual property rights, please contact us at [email protected] with a detailed description of the alleged infringement.

8. Prohibited Conduct

You agree not to: use the Platform for any unlawful purpose; create fraudulent campaigns or make false representations; impersonate any person or entity; interfere with or disrupt the Platform's operation; attempt to gain unauthorized access to any part of the Platform; use automated means to access or scrape the Platform without permission; harass, abuse, or threaten other users; upload malware, viruses, or other harmful code; circumvent any security measures or access restrictions; or violate any applicable laws or regulations.

9. Content Moderation

FundMyAgent reserves the right to review, moderate, suspend, or remove any campaign, comment, or user content that we determine, in our sole discretion, violates these Terms, is fraudulent or misleading, is harmful or offensive, infringes on intellectual property rights, or is otherwise objectionable. We may also suspend or terminate user accounts associated with such content.

10. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. FUNDMYAGENT DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FUNDMYAGENT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO YOUR USE OF THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO FUNDMYAGENT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

12. Indemnification

You agree to indemnify, defend, and hold harmless FundMyAgent LLC, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to your use of the Platform, your violation of these Terms, your campaign content, or your violation of any rights of a third party.

13. Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions.

13.2 Arbitration

Any dispute arising out of or relating to these Terms or the Platform shall be resolved by binding arbitration administered by the American Arbitration Association in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted in Fairfax County, Virginia. Judgment on the arbitration award may be entered in any court of competent jurisdiction.

13.3 Class Action Waiver

You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

14. Changes to These Terms

We may update these Terms from time to time. We will notify users of material changes by posting the updated Terms on the Platform and updating the “Last Updated” date. Your continued use of the Platform after such changes constitutes acceptance of the updated Terms.

15. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

16. Miscellaneous

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not constitute a waiver of such right or provision. These Terms constitute the entire agreement between you and FundMyAgent regarding the Platform and supersede all prior agreements.
